End User Licence Agreement
The company SLG Broadcast AG in Watt CH (hereinafter "Licensor") grants the end user ("Customer") the following rights when purchasing a software licence of the SLG Broadcast Suite ("Software").
1. Inclusion of the Licence Conditions
These terms and conditions are part of an offer. By placing an order, the customer accepts these conditions.
2. Delivery
A copy of the software is delivered via a suitable storage medium or alternatively as a download. A licence is required for the operation of the software, which is transmitted electronically.
With the delivery, the licensor has fulfilled his obligation according to this licence agreement.
The installation of the software by SLG Broadcast AG is not part of the licence. This service can be offered as a separate item.
The delivery of source code is explicitly excluded.
3. Right of Use
Scope of the Right of Use
With this agreement, the Licensor grants the Licensee a non-exclusive, limited, perpetual right of use for the Software.
The right of use is limited to the acquired number of simultaneous instances. One instance corresponds to one licence.
The following actions are not permitted:
- the leasing or lending of the software to third parties
- the editing, modification or extension of the software as well as the reversion of the object code to the source code (decompiling)
Transfer of the Right of Use
The licence may be resold to third parties. The customer is obliged to inform the licensor of the resale with the name and address of the purchaser.
The licence conditions remain unchanged in the event of resale.
4. Warranty
In order to safeguard the rights in respect of defects, the customer must inspect the software immediately after delivery and report any defects in writing and in a comprehensible form.
The warranty period is 3 months and begins with delivery. During this period, reproducible programme errors will be corrected or workarounds offered if the software does not comply with the contractual specifications.

5. Maintenance
The customer receives access to new product versions (releases) for one year from the date of purchase. New features that require an additional licence are excluded from this.
After the first year, a software maintenance contract can be concluded in accordance with the price list valid at that time.
6. Liability
SLG Broadcast AG is liable at most up to the price of the defective product. Any liability for financial losses such as lost profit, unrealised savings, the customer's own expenses, recourse claims by third parties, damage caused by delay, damage resulting from loss of and damage to data, damage resulting from the commercial use of the products and for costs resulting from the involvement of third parties is excluded to the extent permitted by law.
7. Confidentiality
SLG Broadcast AG and the customer mutually undertake to keep confidential all perceptions and documents that belong to the sphere of business secrecy. This obligation does not apply to information that is demonstrably public knowledge or becomes public knowledge without the assistance of the recipient of the information.
The obligation to maintain secrecy shall continue to exist after termination of the contractual relationship.
8. Final Clauses
In the event of questions of interpretation between the different language versions of these licence conditions, the German version shall prevail.
If individual provisions of these licence conditions are invalid, the remaining provisions shall nevertheless remain valid and the contract shall be interpreted and supplemented in such a way that the purpose intended by the invalid provisions can be achieved as far as possible.
Swiss law is applicable. The place of jurisdiction is the registered office of SLG Broadcast AG Watt (Switzerland).
